Contract for connection and use of Yellow Card system

The card operator operates also the credit card system, which enables the user and by him authorized customer to use services of reduced operations with the non-cash payment. According to the conditions of the Contract the user has the right to use the operation services integrated in the credit system. The services for payment are disbursed by the user, with clearing, on the base of invoicing. The customer proves his right to use the operations services by submitting the credit card Paladio 1000 or Yellow Credit.

Having proved the credit card, the customer has the right (after the card validation by the distributor) to use the reduced operations services by the non-cash payment. If the center for authorization has announced the invalidity or blocking of the credit card, the operator is enabled to reject the service of the customer proving the credit card. After finishing the transaction, the operator shall draw a properly completed control document in threefold (original and two copies). The customer shall receive the second copy.

The user, who was given the credit card by the operator, is responsible for the credit card is properly safeguarded to prevent its loss, damage and misuse by any unauthorized person. In the case of misuse, loss, or theft of the card, in his own interest and without delay the user is obliged to demand the operator to block the card. The user shall pay any services performed on the base of the user’s credit card (until announcing its blocking).

Within 5 days after the calendar month end, the operator shall deliver the user a services performance invoice for the realized services. A costs listing (place, day, time), the original bill if required (for a possible inspection) shall be a part of the invoice. The user is obliged to disburse the full sum listed in the invoice within 5 days. The user’s obligation to pay for the realized services shall be considered discharged at the moment the money appears on the operator’s account. In the case the price invoiced does not equal the sum of prices listed in the separate documents on the services, the user has the right to refuse the realization of the payment. In such case the operator is obliged to revise the price for the offered services so it equaled the sum of prices listed in the separate documents on the services. The maturity date starts to pass on the day of delivery of the invoice with a properly set price. A maximum month limit has been agreed by the contracting parts to utilize the non-cash services against payment within the Paladio or Yellow Cards.

Within 3 days after the calendar month end, the operator has the right to invoice the services performance accepted by individual customers. The operator has been given the mandate for invoicing by the services operator. In the case the user is delayed in paying the invoices more than 10 days after their maturity limit, the operator has the right to withdraw from the Contract. At the same time the possibility of using the card system shall be blocked by the operator. In this case the operator shall not be responsible for the damage, which may arise to the user.

The operator has the right to place a system-handling fee of 5% to the value of the realized services, the sum of which shall be verified by the customer. This Contract shall be executed for a determined period of 1 year and automatically renewalled if not annulled. The contracting parts shall agree about a notice period of one month, which starts to pass on the first day of the following month when the Contract has been delivered to the other part. The contracting parts declare that they have read the Contract, understood its content after discussion, and that the Contract has not been executed in distress, nor under evident disadvantageous conditions.
